OFFICIAL RULES

No Purchase Necessary to Enter or Win. The "TiVo® HD Referral Sweepstakes" (the "Sweepstakes") begins August 23, 2007 at 12:00 AM Pacific Time ("PT") and ends on November 15, 2007 at 11:59 PM PT (the "Sweepstakes Period"). During the Sweepstakes Period, TiVo will conduct 3 consecutive monthly sweepstakes (the "Monthly Sweepstakes") and a grand prize sweepstakes (the "Grand Prize Sweepstakes"). The Sweepstakes is sponsored and hosted by TiVo Inc., 2160 Gold Street. Alviso, CA 95002 (the "Sponsor").

1. ELIGIBILITY. Sweepstakes is open only to current legal residents of the continental U.S., Alaska and Hawaii who are the age of majority in their respective jurisdiction at the time of entry, and who are current TiVo® Rewards Program members in good standing. Employees, officers, directors, agents, representatives of Sponsor and their immediate family members and those living in their household, and each person or entity connected with the production, administration or judging of the Sweepstakes, and each parent company, affiliate, subsidiary, agent and representative of any aforementioned entity are not eligible.
2. HOW TO ENTER. During the Sweepstakes Period, each valid referral of a qualifying subscriber for which you successfully receive credit through the TiVo® Rewards Program will give you an automatic entry into the Monthly Sweepstakes during the month in which the referral is credited to your TiVo Rewards Membership Account and each subsequent Monthly Sweepstakes thereafter as well as the Grand Prize Sweepstakes. Please see the TiVo® Rewards Program Terms and Conditions (at www.tivo.com/policies) for the details of what constitutes an eligible referral of a qualifying subscriber under the TiVo® Rewards Program. Referrals will be eligible for entries in the Monthly Sweepstakes and Grand Prize Sweepstakes if they are received through the TiVo Rewards program. Referral credit must be applied to the TiVo Rewards Membership Account during the Monthly Sweepstakes and Grand Prize Sweepstakes time period. Referral credit must be received during activation, through the request for credit online, or by calling TiVo Customer Support. Referral credit date can be verified by logging on to your TiVo Rewards account at www.tivo.com/rewards. Alternatively, print your full name, TiVo Rewards Membership account number, home phone number (including area code), address (including zip code or province code), email address and date of entry on a 3X5 card with proper postage affixed or pre-paid shipping, and mail to: TiVo® HD Referral Sweepstakes, PO BOX 2160, Alviso, CA 95002. The card must contain all requested information or the entry may be disqualified. Mail-in entries must be postmarked no later than the last day of the Monthly Sweepstakes and received no later than 5 days after the deadline for the Monthly Sweepstakes period (the "Drawing Date"). Any entries not received by the Drawing Date will automatically be entered to win in the following month’s drawing. For the Grand Prize Drawing, entries must be postmarked no later than November 15, 2007 and received no later than November 20, 2007, with selection of the drawing for the Grand Prize Sweepstakes be he held on January 20, 2008 (the "Grand Prize Drawing Date"). Each entrant must be the rightful owner (or have authorized use) of the TiVo Rewards Membership account number identified in the entrant’s entry as of the date of entry. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the person in whose name the TiVo Rewards Membership Account was opened. Entrants must provide all information requested to be eligible to win. Incomplete, unreadable, or unintelligible entries, in the sole discretion of TiVo, will be disqualified. Sponsor will not verify receipt of entries. Mail-in entrants may enter as often as they like, but only one entry form per envelope. All entries submitted become the sole property of Sponsor and will not be acknowledged or returned.
3. SELECTION AND NOTIFICATION OF CHOSEN ENTRANTS. Each qualified entry will be entered into the Monthly Sweepstakes and Grand Prize Sweepstakes random drawings. On each of the Drawing Dates for the three Monthly Sweepstakes, 5 separate entrants will be selected, by random drawing by a representative of Sponsor from among all eligible entries received by the respective Monthly Deadlines for the Monthly Sweepstakes and one separate entrant for the Grand Prize Sweepstakes on the Grand Prize Drawing Date (a "Selected Entrant"), as outlined below. Each Selected Entrant will be eligible to win only one (1) Monthly Sweepstakes prize, but will still be eligible to win the Grand Prize (as defined below). For the Grand Prize Drawing, one winner will be selected from among all the entries that were collected during the Sweepstakes Period. All Selected Entrants will be required to respond (as directed) to the phone and/or e-mail notification within 72 hours of attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case, Sponsor may randomly select an alternate chosen entrant from among the remaining eligible entries. Each Selected Entrant will also be sent an affidavit of eligibility / liability / publicity release ("Release"). Except where prohibited by law, Selected Entrants must allow Sponsor to use their name, picture, and winning story for marketing purposes. Selected Entrants may also be required to provide name, U.S. Social Security Number (for tax form purposes), birth date, current address and phone number. Unless restricted by law, each Selected Entrant will be required to complete and return the Release within the time period specified therein. An alternate Selected Entrant may be randomly selected from among the remaining eligible entries if a Selected Entrant: (i) cannot be reached; (ii) fails to obtain all signatures on the Release and to return the documents in a timely manner as required pursuant to these Official Rules; or (iii) cannot accept or receive the prize for any reason. Selected Entrants will receive the monthly prize and the Grand Prize by mail within forty-five (45) days of the Drawing Date. Prizes shall only be mailed in the United States.
4. PRIZES. GRAND PRIZE: For each of the 3 Monthly Sweepstakes, 5 randomly Selected Entrants will qualify to receive the designated prizes below (the "Monthly Prizes"); and for the Grand Prize Sweepstakes, one (1) randomly Selected Entrant will qualify to receive the designated prize below (the "Grand Prize"):

The HD Television portion of the Grand Prize shall be awarded as two thousand five hundred dollars ($2,500) cash in the form of a check made payable to Selected Entrant.	$3039.97

5. All taxes owed in connection with the awarding of the prizes above are the sole responsibility of the Selected Entrant. Total number of prizes: 16. Total value of all prizes: $5289.92. Only claimed prizes will be awarded.
6. ODDS. The odds of winning depend on the total number of eligible entries received.
7. CONDITIONS. Sweepstakes is subject to these Official Rules. By participating, entrants agree to be bound by these complete Official Rules, the terms and conditions of the TiVo® Rewards Program, and the terms of service in the TiVo Service Agreement which can be found at http://www.tivo.com/policies. All decisions of Sponsor are final and binding; and entrants agree to waive any right to claim ambiguity in the Sweepstakes or these Official Rules, except where prohibited by law. By accepting a prize, winner agrees to release Sponsor, its attorneys, affiliates, together with the respective directors, employees, officers, licensees, licensors and agents of each, including without limitation, their respective advertising and promotion entities and any person or entity associated with the production, judging, or administration of the Sweepstakes, (collectively, the "Releasees") from any and all liability, loss or damage arising from or in connection with awarding, receipt and/or use or misuse of prize or participation in any prize-related activities. Sponsor reserves the right to use the Sweepstakes for publicity purposes in any media, and to use the name, likeness, and hometown name and/or prize information of selected entrants as part of that publicity, without any compensation or prior review unless prohibited by law. Any such use with respect to minors shall be subject to prior approval of parent or legal guardian. Taxes, if any, are the sole responsibility of selected entrants, and selected entrants who are U.S. residents may be issued an IRS Form 1099 for the ARV of any awarded prize. This Sweepstakes is void outside the continental US, Alaska, Hawaii, and where prohibited or restricted by law, and subject to applicable federal, state provincial and local laws. Sponsor reserves the right to disqualify any entrant it finds to be tampering with the entry process or the operation of the Sweepstakes or violating these Official Rules. The Releasees shall not be liable for: (i) late, lost, delayed, stolen, misdirected, postage-due, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Sweepstakes; or (v) any printing, typographical, administrative or technological errors in any materials associated with the Sweepstakes. Sponsor disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes, and reserve the right, in their sole discretion, to cancel, modify or suspend the Sweepstakes should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsor’s control, corrupt the administration, security or proper play of the Sweepstakes. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning prize if, in its sole discretion, it determines such entrant is attempting to undermine the legitimate operation of the Sweepstakes in any way by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other players or Sponsor representatives. Use of any automated system to participate is strictly prohibited and will result in disqualification. Sponsor may disqualify at its sole discretion any entries it believes are created by an automated system. Sponsor shall destroy all mail-in entries after 90-days. Disputes regarding these Official Rules and/or this Sweepstakes will be governed by the internal laws of the State of California. Any and all legal actions or claims arising in connection with this Sweepstakes must be brought in a court of competent jurisdiction within the United States. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE SWEEPSTAKES. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
8. PRIVACY. All personal information collected by Sponsor will be used for administration of the Sweepstakes. In addition, entrants shall receive email correspondence from, or on behalf of TiVo, subject to TiVo’s privacy policy. TiVo uses reasonable commercial efforts to comply with Federal CAN-SPAM ACT guidelines, and entrants may subsequently opt-out of receiving further emails by following the opt-out instructions contained in the email. Any questions regarding privacy matters should be directed to the address set out below. Please refer to Sponsor’s privacy policy located at URL www.tivo.com/privacy for important information regarding the collection, use and disclosure of personal information by Sponsor.

10. WINNERS LIST. For names of the prize winners, available after June 30, 2006, send your request in a self-addressed, stamped envelope (WA and VT residents need not affix return postage) to: TiVo® HD Referral Sweepstakes Selected Entrants List, PO BOX 2160, Alviso, CA 95002. Request must be received by April 1, 2008.
